It is a file size limit. FAT32 has a 4GB limit, so no matter how you camera is setup it will not be able to store a file larger than that (and it comes to about 12 minutes)

I really don't get that either. Apparently Canon even will tell you that overheating is really not an issue, so I don't get the 12 minute rule.

nope, I usually don't even notice/worry about the rolling shutter issues. What kills me on these cameras is the 12 minute record time.
